To receive and adopt the audited consolidated financial statements of the Company and its

subsidiaries, and the reports of the directors and auditors of the Company for the year ended 31

December 2020.

2(a).

To re-elect Ms. Linda Chen as executive director of the Company.

2(b).

To re-elect Mr. Craig S. Billings as non-executive director of the Company.

2(c).

To re-elect Mr. Jeffrey Kin-fung Lam as independent non-executive director of the Company.

3.

To authorize the board of directors of the Company to fix the respective directors' remuneration.

4.

To re-appoint Ernst & Young as auditors of the Company and to authorize the board of directors

of the Company to fix the auditors' remuneration for the ensuing year.

5.

To grant a general mandate to the directors of the Company to repurchase shares of the Company

not exceeding 10% of the total number of issued shares of the Company as at the date of passing

of this resolution.

6.

To grant a general mandate to the directors of the Company to allot, issue and deal with new

shares of the Company not exceeding 20% of the total number of issued shares of the Company as

at the date of passing of this resolution.

7.

To extend the general mandate granted to the directors of the Company to allot, issue and deal

with new shares of the Company by the aggregate number of shares repurchased by the Company.

8.

To extend the scheme mandate to the directors of the Company to issue and allot the number of

shares of the Company permitted to be granted under the Company's employee ownership scheme

(the "Employee Ownership Scheme") adopted by the Company on 30 June 2014 (as amended

from time to time), less the number of shares granted to, and not forfeited by selected participants

under the Employee Ownership Scheme, and to procure the transfer of the otherwise deal with

the shares of the Company awarded under, or held on trust for the purposes of, the Employee

Ownership Scheme.

  5. This form of proxy must be signed by you or your attorney duly authorized in writing or in the case of a corporation, must be either under its common seal or under the hand of an officer or attorney so authorized.
  6. In case of joint holders, the vote of the senior who tenders a vote, whether in person or by proxy, will be accepted to the exclusion of votes of the other joint holder(s) and for this purpose seniority will be determined by the order in which the names stand in the Register of Members of the Company.
  7. In order to be valid, this form of proxy together with the power of attorney or other authority (if any) under which it is signed or a certified copy thereof, must be deposited at the Company's share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited, at 17M Floor, Hopewell Centre, 183 Queen's Road East, Wan Chai, Hong Kong not later than 25 May 2021 at 12:15 p.m. (Hong Kong time) or not less than 48 hours before the time fixed for holding any adjournment of the AGM.
  8. Completion and delivery of the form of proxy will not preclude you from attending and voting at the AGM or any adjournment thereof and, in such an event, the form of proxy shall be deemed to be revoked.
