Jiang Han, Ningbo Meishan Bonded Port Area Xiongteng Yufu Investment Center (Limited Partnership) and Shenzhen Xinlian Investment Advisory Partnership Enterprise (Limited Partnership) signed a share transfer agreement to acquire 72% stake in Shenzhen Xinguodu Jinfu Technology Co., Ltd. from XGD Inc. (SZSE:300130) for CNY 57.6 million on May 30, 2019. Jiang Han will acquire 31% stake for CNY 24.8 million, Ningbo Meishan Bonded Port Area Xiongteng Yufu Investment Center (Limited Partnership) will acquire 20% stake for CNY 16 million and Shenzhen Xinlian Investment Advisory Partnership Enterprise (Limited Partnership) will acquire 21% stake for CNY 16.8 million. Post transaction completion, XGD Inc. will hold 28% stake in Shenzhen Xinguodu Jinfu Technology Co., Ltd.
As of December 31, 2018, Shenzhen Xinguodu Jinfu Technology Co., Ltd. reported total assets of CNY 78.5 million and net assets of CNY 37.7 million. For the year ended December 31, 2018, Shenzhen Xinguodu Jinfu Technology Co., Ltd. reported revenue of CNY 87.06 million, operating loss of CNY 1.55 million and net loss of CNY 1.55 million. The transaction is subject to approval from the shareholders of XGD Inc. The 4th directorate's 32nd meeting of XGD Inc. approved the transaction on May 30, 2019.
Jiang Han, Ningbo Meishan Bonded Port Area Xiongteng Yufu Investment Center (Limited Partnership) and Shenzhen Xinlian Investment Advisory Partnership Enterprise (Limited Partnership) completed the acquisition of 72% stake in Shenzhen Xinguodu Jinfu Technology Co., Ltd. from XGD Inc. (SZSE:300130) on June 26, 2019. As on June 26, 2019, XGD Inc. received the first payment for the share transfer from the buyers for a total amount of CNY 11.5 million. As of December 20, 2021, XGD Inc. received fourth and final payment of CNY 3.6 million and all equity transfer payments pursuant to the transaction have been completed.
