1. ESTABLISHMENT OF A NEW ENTITY IN SHANGHAI, THE PEOPLE'S REPUBLIC OF
   CHINA ("PRC")

Shanghai Renchong Real Estate Co., Ltd.1 ("Shanghai Renchong"), a wholly-owned subsidiary, has set up a new company in Shanghai, the PRC ("New Entity"). Details of the New Entity are set out below:-

Principal activity	:	Property development and other related activities

1. DISSOLUTION OF A DORMANT WHOLLY-OWNED SUBSIDIARY IN JINAN, THE PRC

Jinan Yanlord Heyuan Real Estate Co., Ltd.3, a dormant wholly-owned subsidiary, has been dissolved voluntarily.

1. DISSOLUTION OF A DORMANT WHOLLY-OWNED SUBSIDIARY IN LHASA, THE PRC

Lhasa Xinfu Trading Co., Ltd. 4 , a dormant wholly-owned subsidiary, has been dissolved voluntarily.

Each of the above transactions is not expected to have any material impact on the net tangible assets per share or earnings per share of the Group for the financial year ending 31 December 2019.

None of the directors nor controlling shareholder of the Company has any interest, direct or indirect, in each of the above transactions save for their respective interests, through their shareholdings and/or directorships, as the case may be, in the Group.
