ACQUISITION OF AN ADDITIONAL INTEREST IN A COMPANY IN NANJING, THE PEOPLE'S REPUBLIC OF CHINA ("PRC")

Yanlord Land Group Limited (the "Company" and together with its subsidiaries, the "Group") wishes to announce that its wholly-owned subsidiary, Nanjing Renbei Property Development Co., Ltd.1 ("Nanjing Renbei") has acquired an additional interest of 14% ("Acquisition") in a company in Nanjing, PRC, known as Nanjing Yusheng Real Estate Co., Ltd.2 ("Nanjing Yusheng") by way of an increase in registered capital of Nanjing Yusheng for an amount of RMB10.6 million which was fully paid. Following the Acquisition, the Company's interest in Nanjing Yusheng, held through Nanjing Renbei, has increased from 12% to 26%.

Details of Nanjing Yusheng are set out below:-

The net liability of the Acquisition based on the latest management accounts of Nanjing Yusheng was approximately RMB11,400.

The Acquisition is not expected to have any material impact on the net tangible assets per share or earnings per share of the Group for the financial year ending 31 December 2019.

None of the directors nor controlling shareholder of the Company has any interest, direct or indirect, in the Acquisition save for their respective interests, through their shareholdings and/or directorships, as the case may be, in the Group.
