  • I) ESTABLISHMENT OF ENTITY IN SHENZHEN, THE PEOPLE'S REPUBLIC OF CHINA ("PRC")

    Yanlord (Shenzhen) Investment Management Co., Ltd.1 ("Yanlord Shenzhen"), a wholly-owned subsidiary of the Group, had set up a company in Shenzhen, PRC ("Shenzhen Entity"). Details of the Shenzhen Entity are set out below:-

    Nanjing Yanlord Cultural Tourism Industry Development Co., Ltd.3 ("Nanjing Yanlord"), a wholly-owned subsidiary of the Group, had set up a company in Shanghai, PRC ("Shanghai Entity"). Details of the Shanghai Entity are set out below:-

None of the directors nor controlling shareholder of the Company has any interest, direct or indirect, in each of the above transactions save for their respective interests, through their shareholdings and/or directorships, as the case may be, in the Group.
