Yunnan Yuntianhua Co., Ltd. (SHSE:600096) agreed to acquire remaining 65% stake in Yunnan Three Circles-Sinochem-Cargill Fertilizers Co., Ltd. from GNS II (U.S.) LLC, Sinochem Fertilizer Company Limited and Yantai Agricultural Means of Production General Corporation for approximately CNY 230 million on June 22, 2016. Under the terms, Sinochem Fertilizer Company Limited will receive CNY 90.1 mimillion for selling 25% stake. As on August 11, 2016 a contract is signed. For the year ended December 31, 2015 Yunnan Three Circles-Sinochem-Cargill Fertilizers Co., Ltd. reported total assets of CNY 67.6 million, net assets of CNY 384.8 million, revenue of CNY 2 billion and net profit of CNY 64.2 million. Post this transaction, Yunnan Three Circles-Sinochem-Cargill Fertilizers Co., Ltd. will operate as a wholly owned subsidiary. The Board of Directors of Yunnan Yuntianhua Co., Ltd. approved the transaction. The deal is further subject to approval from State-owned Assets Supervision and Administration Commission of Yunnan Province.
