Zenvia Inc. (NasdaqCM:ZENV) signed a definitive contract to acquire Movidesk LTDA on December 21, 2021. The consideration includes a cash disbursement upon deal closing, an earn-out structure based on the fulfilling of gross margin targets until the third quarter of 2023 and Movidesk's former controlling shareholder and key executives will receive 10% of the consideration in ZENVIA's class A shares. As a part of the transaction, Donisete Gomes, Movidesk Chief Executive Officer, will remain as head of Movidesk operation along with his team. The transaction is expected to be completed during the first quarter of 2022. As of March 16, 2022, the transaction is expected to complete in second quarter of 2022. As of March 31, 2022, the transaction is expected to close in April 2022. Sergio Bronstein of Bronstein, Zilberberg, Chueiri e Potenza Advogados acted as legal advisor to Zenvia.

The payment conditions includes a cash disbursement of BRL 296 million on the closing date and an earn-out structure based on the fulfilling of gross margin targets until the third quarter of 2023, which is estimated at approximately BRL 320 million to be paid in December 2023.
