Zenvia Mobile e Serviços Digitais S.A. acquired Sirena for $30 million on July 24, 2020. The purchase price paid by Zenvia at closing amounted to $10.9 million and an additional earn-out consideration amounting to $19.1 million which is payable if certain conditions are met. The consideration also included $0.39 million which was paid on January 24, 2021, to Sirena shareholders and (ii) assuming the consummation of this offering, a certain number of Class A common shares were also given to Sirena shareholders. Following the Sirena acquisition, Sirena’s former shareholders that remained working with us will be subject to a compensation of up to $5,5 millon at acquisition date payable in two installments based on certain milestones. Former Sirena shareholders are also eligible to additional payments of up to US$13,584 thousand payable in three installments (For the year ended December 31, 2019, Sirena reported total assets of $1.6 million, revenue of $1.8 million and operating loss of $1.9 million. The acquisition of Sirena brings 55 people to the Zenvia team, totaling more than 350 employees spread across Argentina, Brazil, United States and Mexico.
