KOGENERACJA : Motion by the Management Board regarding 2016 financial year profit distribution

Subject: Motion by the Management Board regarding 2016 financial year profit distribution

The Management Board of Zespół Elektrociepłowni Wrocławskich KOGENERACJA S.A. hereby informs that at the meeting of 7 March 2017, the Management Board passed the Resolution concerning submission to the Ordinary General Meeting of Shareholders of KOGENERACJA S.A. the motion with the proposal to divide the net profit for 2016.

In line with the motion, the net profit for 2016, which amounted to PLN 149 156 402.48, will be divided in the following way:

• the amount of PLN 98 042 000.00 to be allocated for the dividend payment for shareholders, which gives PLN 6.58 per share

• and the amount of PLN 51 114 402.48 to be allocated to other reserve capital.

Pursuant to article 382 § 3 of the Polish Code of Commercial Partnerships and Companies, the Management Board shall submit its motion to the Supervisory Board for review. The final decision regarding net profit distribution for the financial year 2015 will be made by the Ordinary General Meeting of Shareholders of KOGENERACJA S.A.

U. [Journal of Laws] of 2014, item 133).
