Zhejiang Jinke Culture Industry Co., Ltd. (SZSE:300459) agreed to acquire Shaoxing Shangyu Maniu Communication Technology Co., Ltd. from Xu Bo and Shaoxing Shangyu Zhuque Equity Investment Partnership Enterprise (LP) for CNY 2.1 billion on August 29, 2017. Under the terms of the transaction, Zhejiang Jinke Culture Industry Co., Ltd will issue approximately 190 million shares at an issue price of CNY 10.77 per share as consideration. Xu Bo and Shaoxing Shangyu Zhuque Equity Investment Partnership Enterprise (LP) will receive 0.05 million and approximately 190 million shares as consideration, respectively. In a related transaction, Zhejiang Jinke Culture Industry Co., Ltd. (SZSE:300459) agreed to acquire Hangzhou Doubao Network Technology Co., Ltd. for CNY 2.1 billion on August 29, 2017. The transaction is subject to approval by shareholders of Zhejiang Jinke Culture Industry to be held on September 22, 2017 and approval by China Securities Regulatory Commission. The transaction is approved by the Board of Zhejiang Jinke Culture Industry and associates of Shaoxing Shangyu Zhuque Equity Investment Partnership Enterprise (LP). The transaction is approved by the China Securities Regulatory Commission on December 14, 2017.
