Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 14, 2022, Zillow Group, Inc. ("Zillow Group" or "the Company") held its 2022 Annual Meeting of Shareholders (the "2022 Annual Meeting"). At the 2022 Annual Meeting, Zillow Group's shareholders voted on the following matters:

(1)   to elect three Class II directors (Richard N. Barton, Lloyd D. Frink and April
      Underwood) each nominated by the Company's Board of Directors to serve until the 2025
      Annual Meeting of Shareholders; and
(2)   to ratify the appointment of Deloitte & Touche LLP as the Company's independent
      registered public accounting firm for the fiscal year ending December 31, 2022.

Zillow Group's inspector of election certified the following voting results:
