On August 10, 2021, Ted Crandall and Robin Walker-Lee, directors of Rexnord, provided notices of resignation to the Rexnord Board in connection with their appointment to the Regal Board. The resignations of Mr. Crandall and Ms. Walker-Lee from the Rexnord Board, and their appointment to the Regal Board, are subject to, and conditioned upon, the closing of the Merger, and will become effective as of the closing of the Merger. The size of the Rexnord Board will be reduced to 9 directors effective immediately upon the resignations of Mr. Crandall and Ms. Walker-Lee. Mr. Crandall's and Ms. Walker-Lee's resignations are not a result of any disagreements with Rexnord or the Rexnord Board.
