Medinah Gold, Inc. entered into a definitive agreement to acquire American Sierra Gold Corp. (OTCPK:AMNP) in a reverse merger transaction on August 13, 2012. Each outstanding share of common stock of Medinah will be converted in the right to receive one share of American Sierra Gold. Medinah Gold will acquire 64.1 million shares of American Sierra Gold for all of its shares. The transaction stands to be terminated if there is a mutual consent between Medinah and American Sierra or if any of the deal conditions are not met. American Sierra Gold shall change its name to American Medinah Gold Corp. The deal is subject to Medinah's shareholder approval, governmental and regulatory approvals and other conditions. Board of Directors of Medinah Gold unanimously approved the agreement and recommended it to the shareholders of Medinah Gold. Also Board of Directors of American Sierra unanimously approved the agreement and found it to be in the best interest of stockholders of American Sierra.

Larry Regis will become the President and Chief Executive Officer of American Sierra while Garry Goodin will become American Sierra's Chief Operating Officer and Vice President, Marketing and Sales. Vital Karra will be appointed as Secretary of the Treasurer, Head of Marketing of American Sierra post completion of the transaction. Michele N. Rasmussen of The Apex Law Group, LLP acted as legal advisor to American Sierra. Thomas J Harris, CPA acted as accountant to American Sierra. American Registrar & Transfer Company and Island Capital Management, LLC acted as transfer agent for American Sierra. Thomas J Harris, CPA was paid $5,250 for audit of accounts of fiscal 2011.

Medinah Gold, Inc. cancelled the agreement to acquire American Sierra Gold Corp. (OTCPK:AMNP) in a reverse merger transaction on November 29, 2012. Medinah Gold and American Sierra mutually agreed to the termination of agreement. American Sierra now plans to offer an exchange of securities directly with Medinah shareholders on terms and conditions similar to those found in the merger agreement.
