Jilin Zhongmao Construction Engineering Co., Ltd. signed a share transfer agreement to acquire Shenyang Jianyuan Heating Co., Ltd. from Beijing Huayuanyitong Thermal Technology Co., Ltd. (SZSE:002893) for CNY 11 million on February 11, 2022. The 50% of consideration will be paid within 90 days from the agreement signing date and remaining 50% before December 31, 2022. The total assets and net assets of Shenyang Jianyuan Heating Co., as of August 31, 2022, were CNY 28.06 million and CNY 8.08 million, respectively. The transaction has been approved in the 8th meeting of the Beijing Huayuanyitong Thermal Technology's 3rd directorate held on February 11, 2022, and is subject to the shareholders' approval.
