Bonduelle SCA has announced plans to simplify its control structure, by concentrating the stable core of control within a new company, Bonduelle Family Holding, through the contribution of Pierre et Benoît Bonduelle SAS shares.

As a reminder, Pierre et Benoît Bonduelle SAS, the general shareholder controlling the agri-food group, currently includes members of the sixth, seventh and eighth generations of the Bonduelle family.

It is also planned to merge Bonduelle SCA and La Plaine SA (a subsidiary of Pierre et Benoît Bonduelle SAS) by absorbing the latter into the former, in order to eliminate one level of interposition and offer liquidity to La Plaine SA shareholders.

Following this transaction, which would be submitted to the AGM on December 7, the former shareholders of La Plaine SA would hold Bonduelle SCA shares received in exchange, with the Bonduelle SCA shares previously held by La Plaine SA being cancelled.
