Item 5.07 Submission of Matters to a Vote of Security Holders
The Company held its annual meeting of shareholders on Tuesday, September 26, 2023, as a virtual meeting online via live audio webcast at which the matters set forth below were submitted to a vote of stockholders. Shareholders representing 8,678,008, or 95.6%, of the 9,076,832 shares entitled to vote were voted virtually or by proxy. Proxies for the meeting were solicited pursuant to Regulation 14A of the Securities Exchange Act of 1934. At the Annual Meeting, management Proposals 1, 2, 3 and 4 were approved. The proposals below are described in detail in the Company's definitive proxy statement dated September 1, 2023, for the Annual Meeting.

Bridgford Foods Corporation is primarily engaged in the manufacturing, marketing, and distribution of various frozen and snack food products throughout the United States. The Company's segments include Frozen Food Products and Snack Food Products. The Frozen Food Products segment is engaged in the processing and distribution of frozen food products. The Snack Food Products segment is engaged in the processing and distribution of snack food products. It offers various products, including biscuits, bread dough items, roll dough items, dry sausage products and beef jerky. Its direct store delivery network consists of non-refrigerated snack food products. Its Frozen Food Products division serves both food service and retail customers. It sells over 140 frozen food products through approximately 780 wholesalers, cooperatives, and distributors. Its snack food products division sold over 160 different items through customer-owned distribution centers and a direct-store-delivery network.
