BB Elo Cartões Participações S.A., Quixaba Empreendimentos e Participações Ltda., Alelo Instituição de Pagamento S.A., Elo Participações Ltda. and Livelo S.A. made an offer to acquire 40.12% stake in Cielo S.A. on February 5, 2024. The per share price is BRL 5.35. Following the acquisition Cielo S.A. will be delisted from the Novo Mercado of B3 S.A. ? Brasil, Bolsa, Balcão. The transaction is subject to certain conditions, including applicable legal, share holder approval and regulatory approvals from the competent governmental authorities.
