RELATED TO

ANNUAL REPORT FOR THE YEAR ENDED 31 DECEMBER 2019

The board of directors (the "Board") of Digital China Holdings Limited (the "Company" and, together with its subsidiaries, the "Group") would like to provide further information to the shareholders and potential investors of the Company in relation to the information disclosed in its annual report for the year ended 31 December 2019 (the "2019 Annual Report"). Terms defined in the 2019 Annual Report, shall, unless the context otherwise defined, have the same meaning when used herein.

As disclosed in the 2019 Annual Report, the Company granted share options under the Share Option Scheme on 28 March 2019, 2 September 2019 and 7 November 2019 during the year ended 31 December 2019. The closing prices of the shares of the Company immediately before the dates of the grant were HK$4.26 on 27 March 2019, HK$3.95 on 30 August 2019 and HK$4.10 on 6 November 2019.
