ECOMEMBRANE S.P.A., THROUGH ECOMEMBRANE LLC, ACQUIRES 100% OF THE SHARES OF THE US COMPANY SPLASH SUPERPOOLS LTD STRENGTHENING ITS PRESENCE ON THE AMERICAN MARKET

Gadesco Pieve Delmona (CR), September 21st, 2023 - Ecomembrane S.p.A. (hereafter "Ecomembrane" or the "Company", ISIN IT0005543332), leading company in the design and construction of gas storage and containment systems for the production of green energy, listed on the EGM segment of Borsa Italiana S.p.A., announces the signing of an agreement with Little Rock Holdings Inc, through its subsidiary Ecomembrane LLC, for the purchase of 100% of the shares of Splash SuperPools Ltd (hereinafter "Splash"), a US company based in Little Rock, Arkansas, operating in the treatment and production of PVC membranes for swimming pools and biogas plants, for a price of USD 2.3 million.

The agreement provides for a set of declarations and guarantees issued by the Seller, as usual for such transactions, while the closing is expected within October 31St, 2023.

Splash has twenty employees and expects a turnover for the FY 2023 of approximately 1.5 million USD. The same company was already a partner of Ecomembrane LLC through a service contract with which, for a monthly fee, it provided the latter with the resources and facilities necessary to guarantee its operation on the US market.

The purchase of Splash, financed through part of the funds raised during the IPO, will allow Ecomembrane to reorganize and consolidate its presence and positioning on the US market, expected to grow strongly.
