FamilyMart UNY Holdings Co., Ltd. (TSE:8028) agreed to acquire an additional 26.4% stake in Kanemi Co., Ltd. (JASDAQ:2669) from ITOCHU Corporation (TSE:8001), Ryoji Miwa, Kotaro Miwa, Nobuaki Miwa, and 6 others for ¥8.7 billion on June 28, 2017. Under the terms of transaction, FamilyMart UNY Holdings Co., Ltd. will acquire 2.6 million Kanemi Co., Ltd. shares at ¥3,359 per share. Kotaro Miwa will stay on as President of Kanemi Co., Ltd. Kanemi Co., Ltd. and FamilyMart UNY Holdings Co., Ltd. are expected to consolidate ingredient procurement, product development and sales sections. The share transfer agreement conclusion date is July 7, 2017. The transaction is expected to be completed on last day of July, 2017.

Kanemi Co.,Ltd. is a Japan-based company mainly engaged in the manufacture and sale of bento boxes, sushi, rice balls, side dishes, among others. The Company operates through two business segments. The Tenant segment is involved in the production and sale of sushi and prepared dishes through general side dish shops, sushi specialty shops and western-style side dish shops opened in supermarkets and the other, as well as the operation of Japanese restaurants and sushi restaurants. The External Sale segment is involved in the manufacture and delivery of bento boxes, rice balls and prepared dishes for convenience store members.
