LIKE Co., Ltd. (TSE:2462) announced a private placement of 2nd series warrants and 3rd series warrants for gross proceeds of ¥3,930,000 on April 1, 2015. The company will issue 1,800 units of 2nd series warrants at ¥800 per warrant for proceeds of ¥1,440,000. The 2nd series warrants will be issued three directors of the company. Each 2nd series warrant is exercisable into 100 common shares of the company at an exercise price of ¥875 per share. The warrants may be exercised from May 1, 2015 to April 30, 2025. The allotment date for the 2nd series warrants is expected on April 30, 2015. The settlement date and the application date for the warrants are expected on May 15, 2015 and April 24, 2015 respectively.
The company will issue 3,000 units of 3rd series warrants at ¥830 per warrant for proceeds of ¥2,490,000. Six investors which include directors and auditors of the company and the company's subsidiary will subscribe for 1,520 units and 11 members who include employees of the company and its subsidiary will subscribe for 1,480 units. Each 3rd series warrant is exercisable into 100 common shares of the company at an exercise price of ¥875 per share. The warrants may be exercised from May 1, 2015 to April 30, 2022. The allotment date for the 3rd series warrants is expected on April 30, 2015. The settlement date and the application date for the warrants are expected on May 15, 2015 and April 24, 2015 respectively. The transaction was approved by the board of directors of the company.
On April 30, 2015, the company announced that 6 directors and auditors and its subsidiary sill subscribe for 1,515 units of 3rd series warrants and 88 employees of the company will subscribe for 1,429 series 3 warrants.
