(1)In 2016, Uni-President Enterprises Corporation ("Uni-President"),
President Nissin Corporation ("President Nisshin"), President Chain Store
Corporation ("PCSC") are collectively claimed for compensation against
Ting Hsin Oil and Fat Industrial Corporation ("Ting Hsin Company"),
its representatives and relevant personnel in an action in the Taiwan
Changhua District Court ((105) Zhong Su Zhi No. 205 civil case).
After years of trails and in consideration of the Court's recommendation,
the parties have entered into a settlement agreement with a total
compensation amount at NT$170,000,000 on August 4, 2022.
(2)Uni-President shall deal with this settlement according to
the settlement transcript of the Court.

Since September 2014, Uni-President, President Nissen, and PCSC have been
seriously affected by the gutter oil event of Ting Hsin Company,
tarnishing the goodwill and business of these corporations. In order to
protect the rights and interests of the companies and their shareholders
and to prosecute the wrongful act, President Nissen has entrusted lawyers
to file a criminal complaint against Ting Hsin Company and
relevant personnel, and the case is currently pending in the Criminal
Division of Taiwan High Court Taichung Branch Court.
In 2016, Uni-President, President Nissen and PCSC appointed lawyers to
file this civil case ((105) Zhong Su Zhi No. 205,
Taiwan Changhua District Court), claiming for compensation of damages
and losses against Ding Hsin Company and relevant personnel.
Due to the complexity of the evidence and facts in this case,
it has been tried by the Court for many years. Nevertheless,
if the case is to be end of trial, it may still take a lot of time.
Hence, the Court advised the parties to reconcile.
Giving serious consideration to the sincerities of the parties to resolve
the matters of this dispute, the willingness of the defendants to
compensate the plaintiffs' direct losses to show their apology,
the professional legal opinions provided by the appointed lawyers,
and intending to save judicial resources, Uni-President agreed to
accept the Court's proposal, and the parties reached a settlement
in litigation with a total compensation amount at NT$170,000,000
on August, 4, 2022.
Uni-President will follow its previous commitments to the public,
fully investing all of the compensation in public welfare after deducting
the Court fees and related costs of this lawsuit.
