JC Square Co., Ltd. announced that it has entered into a contract for private placement of 80,000 shares at ¥1,000 per share for gross proceeds of ¥80,000,000 on April 24, 2017. The transaction will include participation from new investors, GMO CLOUD K.K. (TSE:3788) for 60,000 shares to acquire 60% stake in the company and GMO Globalsign K.K. for 20,000 shares to acquire 20% stake in the company. The investors will acquire 80% stake in the company. The company will issue securities through third party allotment method. The company expects to close the transaction on May 1, 2017. The transaction has been approved by the board of directors of the GMO CLOUD K.K. (TSE:3788) at its board of directors meeting.
GMO GlobalSign Holdings KK, formerly GMO Cloud KK, is a Japan-based company mainly engaged in the provision of information technology (IT) services. The Company has three business segments. The Cloud and Hosting segment is engaged in the provision of public cloud, private cloud, shared server, dedicated hosting and shared hosting services, and cloud introduction support, monitoring and operation services. The Security segment is engaged in the provision of secure socket layer (SSL) server certificate issuance services, corporate identity authentication services, client certificate issuance services and electronic signature services.
