On June 30, 2022, Faith, Inc. announced the Voting Results of Proposals resolved at the 30th Ordinary General Meeting of Shareholders held on June 24, 2022. The Proposals 1 to 3 from the Company were approved, and Proposals 4 and 5 of activist Tower Investment Management Co., Ltd. were rejected. Specifically, Proposal No.

1 refers to Partial Amendment to the Articles of Incorporation: (i) will change business objectives based on current business content and future business development, and (ii) Electronic Provision System in line with the revised provisions stipulated in the proviso of Article 1 of the Supplementary Provisions of the “Law for Partial Revision of the Companies Act”, Proposal No. 2 Election of Hajime Hirasawa, Shinichi Yoshida, Masato Nakanishi, Chikayo Suzuki, Tetsuya Bessho, Elizabeth Masamune, Shigeyuki Mito, and Tadashi Takiguchi as directors, and Proposal No. 3 about Election of Susumu Nagayoshi as auditor.

Subsequently, the following Proposals were rejected by shareholders Votes, Proposal No. 4 about Appropriation of Surplus: Based on the provisions of Articles 453 and 454 of the Companies Act, 300 yen per common share will be distributed as a dividend of year-end surplus to shareholders, and Proposal .No. 5 Acquisition of treasury stock: within 150 days from the conclusion of this Ordinary General Meeting of Shareholders, the Company will purchase 4,000,000 shares of common stock for a total acquisition price of 6,000 million yen.
