On July 28, 2019, Bakken Resources, Inc. (the "Company") agreed to stipulate
that the shareholder derivative lawsuit captioned Graiwer v. Holms et al.,
CV14-00544 filed in the Second Judicial District Court of Nevada in the county
of Washoe be dismissed with prejudice. Such stipulation will resolve the
derivative action that was filed in March 2014 by Manuel Graiwer and T.J. Jesky.
Under the proposed terms of the stipulation, the case will be dismissed with
prejudice, and with all parties bearing their own costs and fees. No other
conditions are being proposed.
A hearing to approve the stipulation is scheduled for August 21, 2019 at 2 p.m.
in the Second Judicial District Court, Washoe County, at 75 Court Street, Reno,
Nevada 89501. Current company shareholders who have no objection to the proposed
dismissal need not take further action. Any current company shareholders who
wish to be heard concerning the dismissal may, but is not required to, enter an
appearance in this suit, and be represented by counsel and present evidence or
