BANCA CARIGE SELLS 200 SHARES OF THE BANK OF ITALY'S SHARE CAPITAL

DATA ROOM OPENED WITH ACCESS RESERVED FOR CASSA CENTRALE BANCA - CREDITO COOPERATIVO ITALIANO AND THE ITALIAN INTERBANK DEPOSIT PROTECTION FUND

Genoa, 6 August 2020 - In line with the Strategic Plan (envisaging the disposal of the Bank of Italy's shares in excess of the 3% dividend-bearing stake), notice is hereby given that Banca Carige (the Bank or Carige) has sold 200 shares of the Bank of Italy's share capital, for a nominal value of EUR 25,000 each, to Banca di Verona Società Cooperativa per Azioni - Gruppo Bancario Cooperativo Iccrea at a price equal to the shareholding's overall nominal value of EUR 5 mln, which also coincides with its historical cost.

After the disposal of this 0.07% stake in the Bank of Italy's share capital, the Carige Group still holds 10,295 shares, corresponding to a 3.43% shareholding.

Carige further informs that, giving effect to the commitments undertaken as part of the framework agreement of 9 August 2019 (the Framework Agreement), entered into by and between the Bank, the Interbank Deposit Protection Fund (FITD), the FITD's Voluntary Intervention Scheme (SVI) and Cassa Centrale Banca - Credito Cooperativo Italiano S.p.A. (CCB) in the course of the Temporary Administration period (ending 31 January 2020), which the Bank was subject to pursuant to art. 70 et seq. of Legislative Decree No. 385/93, a data room, reserved for CCB and FITD, will be opened tomorrow. Access to the data room is regulated by a Non-Disclosure Agreement between the parties concerned and is functional for CCB's potential exercise -in the period from 1 July 2020 to 31

December 2021- of the call options on the Bank's shares held by FITD and SVI, as was communicated

to the market on 9 August 2019.
