On April 6, 2023, Alpine Acquisition Corporation, a Delaware corporation (the
"Company"), received a notice (the "Notice") from the Listing Qualifications
department of the Nasdaq Stock Market LLC ("Nasdaq"). The Notice stated that
because the Company has not yet filed its Annual Report on Form 10-K for the
period ended December 31, 2022 (the "Filing"), the Company no longer complies
with Nasdaq's rules for continued listing (the "Rules"). Under the Rules, the
Company has 60 calendar days from the date of the Notice to submit a plan to
regain compliance. If Nasdaq accepts the plan, it may grant an exception of up
to 180 calendar days from the Filing's due date, or until September 27, 2023,
for the Company to regain compliance.
On April 10, 2023, the Company issued a press release announcing its receipt of
the Notice. A copy of the press release is filed as Exhibit 99.1 to this Current
Report on Form 8-K and is incorporated herein by reference.
