B&S General Meeting of Shareholders resolves to remove Mr. Jan Arie van Barneveld from his position as member of the Supervisory Board and Mrs. Kitty Koelemeijer's resignation is consequently effective immediately

Mensdorf, Luxembourg - December 15, 2022 (14:30 CET)

B&S Group S.A. ("B&S" or the "Company"), tech company in the consumer goods industry, announces that during the Extraordinary General Meeting of Shareholders held today, it was resolved to remove Mr. Jan Arie van Barneveld from his position as member of the Supervisory Board effective immediately and consequently Mrs. Kitty Koelemeijer's resignation from her position as a member of the Supervisory Board is also effective immediately.

The resolution to remove Mr. Jan Arie van Barneveld from his position as member of the Supervisory Board follows a request from B&S' shareholder Sarabel Invest S.à r.l. ("Sarabel"), which at that time held 67.26% of the company's share capital, to convene a General Meeting of Shareholders having as sole item on the agenda the removal of Mr. Jan Arie van Barneveld from his position as member of the Supervisory Board of B&S.

As a consequence of Mr. Jan Arie van Barneveld's removal, the conditionality for the resignation of the independent Supervisory Board member Mrs. Kitty Koelemeijer, as announced in a press release on October 17, 2022, has been fulfilled and Mrs. Kitty Koelemeijer's resignation from her position as a Supervisory Board member is therefore effective immediately.

The Company expects that the appointment of one or more new independent Supervisory Board members will follow in due course in accordance with applicable law and corporate governance regulations.
