Proposal for the election of the external
auditor for the period 2022 - 2024 and
compensation
The Audit Committee and the Board of Directors recommend to the General Shareholders Meeting to elect PwC Contadores y Auditores SAS, to carry out the External Audit of Bancolombia for the period April 2022 - March 2024.
The recommendation is based on a process of evaluation of proposals from several firms with international experience in aspects such as fees, experience, knowledge of the sector, team capacity, international specialists and economic proposal, among others.
PwC Contadores y Auditores SAS
Is a Colombian firm that is part of the PWC global network, is registered with the PCAOB and has a recognized track record. Likewise, the firm accredited criteria of independence, non-existence of conflicts of interest and has not received income from Grupo Bancolombia that represents 25% or more of its annual income.
For fees, it is recommended that the Assembly approves an annual sum of eight thousand seven hundred four million, eight thousand four hundred eighty-nine Colombian pesos (COP $ 8,704,008,489) per year, as fees for the External Auditor of Bancolombia S.A. This amount is equivalent to a monthly average of seven hundred and twenty-five million three hundred and thirty-four thousand and forty-one Colombian pesos (COP $725,334,041).
