          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On April 15, 2023, Dale Mathias informed Blue Ocean Acquisition Corp (the "Company") that she intends to resign immediately from the Board of Directors (the "Board") of the Company. Ms. Mathias' resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the Company's operations, policies or practices. Ms. Mathias served on the Compensation Committee of the Board.
