FURTHER EXTENSION OF

EXCLUSIVITY PERIOD UNDER THE MOU

Reference is made to the announcements (the "Announcements") of TC Orient Lighting Holdings Limited (the "Company") dated 15 November 2019 and 13 December 2019 in relation to the non-legally binding MOU regarding the possible establishment of the JV Company for the provision of energy storage products and rapid charge services in the PRC and Hong Kong. Unless the context otherwise requires, capitalized terms in this announcement shall have the same meanings as defined in the Announcements.

As more time is needed for the negotiation of the terms of the binding JV Agreement, on 30 December 2019, the parties entered into a second supplemental memorandum of understanding to further extend the Exclusivity Period to 24 January 2020 (subject to further extension by mutual consent of the parties).
