The board of directors of Club Méditerranée (Paris:CU) appointed today, as an independent expert, Accuracy, represented by Sirs Bruno Husson and Henri Philippe, who will be responsible for producing, pursuant to the article 261-1 of the AMF regulation, a report on the financial conditions of the project of tender offer that its two main shareholders Axa Private Equity and Fosun intend to deposit, jointly with the management of Club Méditerranée.

In order to monitor the appointed independent expert's work, an ad hoc committee chaired by Mr Georges Pauget (president of the audit committee) was named by the board of directors. It is composed by Mrs Anne-Claire Taittinger (president of the nominations and compensation committee) and Mr Alain Dinin, independent directors, as well as Mr Amine Benhalima, representative of CMVT International and Mr Pascal Lebard.

This official statement does not constitute and does not have to be regarded as a public offering of acquisition on the titles of Club Méditerranée. In accordance with the French regulation, documentation relating to the public offering which will comprise the terms and conditions of the offer will be subjected to the Authority of the financial markets.
