PROFIT WARNING

This announcement is made pursuant to Rule 17.10 of the GEM Listing Rules and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance.

The Board of the Company wishes to inform the shareholders of the Company and potential investors that it is expected that the results of the Group for the nine months ended 31 March 2019 may record a significant decrease in its unaudited consolidated net profit as compared to the corresponding period of 2018.

Shareholders of the Company and potential investors should exercise caution when dealing in the

shares of the Company.

This announcement is made pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the GEM of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules") and the Inside Information Provisions (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of Directors (the "Board") of Combest Holdings Limited (the "Company") and together with its subsidiaries (the "Group") wish to inform the shareholders of the Company and potential investors that, it is expected that the result of the Group for the nine months ended 31 March 2019 may record a significant decrease in its unaudited consolidated net profit as compared to the corresponding period of 2018. Based on the information currently available, the Board believes that such significant decrease would be mainly attributable to: (i) absence of the performance bonus earned from fund management services segment compared to corresponding period of 2018; (ii) decrease in management fee income from fund management segment due to the close of TAR Private Equity Fund L.P. in December 2017 and (iii) decrease in turnover of the money lending business.

As the Company is still in the process of finalizing its consolidated results for the nine months ended 31 March 2019, the information contained in this announcement is only based on a preliminary assessment by the management of the Company of the information available to them. Investors are advised to read carefully the results announcement of the Company for the nine months ended 31 March 2019 which is expected to be announced on or before 15 May 2019.
