Datalogic S.p.A. (BIT:DAL) commences share repurchases on May 16, 2023, under the program mandated by the shareholders in the Shareholder's Meeting held on April 27, 2023. As per the mandate, the company is authorized to repurchase up to 10,022,245 shares, representing 17.15% of its issued share capital, such that shares held from time to time in portfolio of the Company and its subsidiaries does not overall exceed one-fifth of the Company's share capital. The repurchase price may not be lower or higher by more than 15% with respect to the official Stock Exchange price on the day preceding (at the close of the session) to that in which the purchase transaction will be carried out. The shares repurchased will be used for liquidity support and market efficiency, pursue an efficient use of the liquidity generated by the company's core business, use to service compensation plans based on financial instruments and keep for subsequent use, including: consideration in extraordinary transactions, including the exchange of shares, with other parties, as part of transactions in the interest of the Company, including the allocation to service debenture loans convertible into shares of the Company or bonds with warrants. As of March 24, 2023, the company had 58,446,491 shares outstanding and 1,667,053 shares in treasury. The authorization is valid for 18 months.


On May 15, 2023, the company announced a share repurchase program. Under the program, the company will repurchase 600,000 shares. The purpose of the program is to keep the shares for subsequent use in accordance with the resolution of the meeting. The repurchases will be financed from distributable profits and available reserves resulting from the last duly approved financial statements. The repurchases will commence from May 16, 2023 and will be valid till July 4, 2023.

On June 21, 2023, the company announced an increase in its share repurchase program announced on May 15, 2023. The company increased its authorization by 500,000 shares, thereby bringing total authorization to 1,100,00 shares.
