Diamond Dining Co.,Ltd. (TSE:3073) made a takeover bid to acquire 42% stake in Zetton Inc. (NSE:3057) from Kenichi Inamoto for ¥1.4 billion on July 15, 2016. Diamond Dining Co.,Ltd. offered takover bid for 1.8 million shares (no less than 1.72 million shares) at a price of ¥790 per share with offering period from July 19, 2016 to August 25, 2016. Kenichi Inamoto's stake in Zetton Inc. will reduce to 7.2% subsequent to the transaction. The settlement start date is September 1, 2016. SMBC Nikko Securities, Inc. acted as the tender offer agent independent third party appraiser in the transaction. Oh-Ebashi LPC & Partners acted as the legal advisor to Zetton Inc. and applying shareholders.
