Therefore, the buyback hasn't completed. 13.Minutes of the board of directors meeting that resolved for the share repurchase:The 16th meeting of the 11th Board on May 11, 2022 14.The Rules for Transfer of Shares set forth in Article 10 of the Regulations Governing Share Repurchase by Exchange-Listed and OTC-Listed Companies: In accordance with this rule, the shares which have been bought back can be transferred to the Company's employees at one time or at several times within five years from the date the shares were bought back. The transfer price of the treasury shares to the employees shall be the average price of the actual repurchase price. In the event that the Company has increased outstanding common shares, the preceding price can be adjusted in proportion to the said increase in shares. 15.The Rules for Conversion of Shares or the Rules for Subscription of Shares set forth in Article 11 of the Regulations Governing Share Repurchase by Exchange-Listed and OTC-Listed Companies:N/A 16.Declaration that the financial status of the Company has been considered by the board of directors, and that its capital maintenance will not be affected: The Board acknowledged that the total number of shares repurchased represents only 2.24% of the Company's outstanding shares and the proceeds required for the repurchase represents only 2.80% of the Company's current assets. The Board has considered the financial position of the Company and concluded that there is no material impact on the Company's capital maintenance from the above share repurchase. 17.Appraisal or opinion by a CPA or securities underwriter about the reasonableness of the share repurchase price: Fubon Securities Co. Ltd. assesses that the repurchase of the shares within the stated price range, besides the cash outflow, will have limited impact on the Company's financial structure, book value per share, earnings per share, return on equity, quick ratio and current ratio.
