ANNOUNCEMENT

TERMINATION OF THE PROPOSED ACQUISITION OF INTERNATIONAL OFFSHORE EQUIPMENTS PTE LTD

Unless otherwise defined, all capitalized terms used in this announcement shall bear the same meanings and construction ascribed to them in the Company's announcements dated 28 April 2014 and 15 May 2014 (collectively, the "Announcements").

The Board of Directors of EMS Energy Limited (the "Company") and together with its subsidiaries (the "Group") refers to the Announcements and wishes to announce that the Company, Ng Kwang Choo and Anandha Raj Komala (collectively, the "Vendors") have mutually agreed to terminate the SPA with immediate effect, on the terms and subject to the conditions of a deed of termination entered into between the Company and the Vendors dated 4 August 2014.
Upon termination of the SPA, none of the parties involved shall have further obligations or any claims against the other in respect of the SPA. The proposed rights issue (which was announced by the Company on 5 May 2014) would also be adjusted accordingly to take into consideration the termination of the SPA, details of which are contained in a separate announcement made by the Company today.
