Milan, Italy, 28 April 2022 - The shareholders of Falck Renewables S.p.A. have approved all the proposals by the company's Board of Directors at its 2022 Annual General Meeting.

Approval of the Financial Statements

The shareholders approved the financial statements of Falck Renewables S.p.A. as at and for the year ended 31 December 2021, showing a net result for the year of Euro -25.5 million and resolved to carry forward the loss for the year. The shareholders also examined the consolidated financial statements as at and for the year ended 31 December 2021, which show a profit for the year of Euro 4.4 million and a net result for the year attributable to the owners of the Parent Company of Euro -18.4 million.

Annual report on the remuneration policy and compensation paid

The shareholders approved the 2022 Remuneration Policy (Section I) and agreed, in a consultative vote, on the 2021 Compensation Report (Section II).

Appointment of four Directors: Olov Mikael Kramer, John Hoskins Foster, Mark Alan Walters and Sneha Sinha

The shareholders of Falck Renewables S.p.A. confirmed the four Directors appointed by co-option by the Board of Directors on 24 February 2022: Olov Mikael Kramer, John Hoskins Foster, Mark Alan Walters and Sneha Sinha.

The Board of Directors meeting at the end of the Annual General Meeting also confirmed the appointment of Director Olov Mikael Kramer as Executive Chairman of the Company's Board of Directors and as a new member and Chairman of the Sustainable Strategy Committee, and Director John Hoskins Foster as Vice Chairman.
