Indicative Announcement on the Reduction of Shareholding of More Than 1% by the Shareholder Holding 5% or above of the Company's Shares

Important Notice:

• This change in equity did not trigger a tender offer or involve any change in the control of the Company.
• After the change in equity, the percentage of shares of the listed company held by the information disclosure obligor decreased from 15.43% to 14.38%.

On November 19, 2021, Gemdale Corporation ("Gemdale Corporation" or the "Company") received the Notice of Change in Equity of Gemdale Corporation from Dajia Life Insurance Co., Ltd. ("Dajia Life Insurance" or the "Information Disclosure Obligor"), a shareholder of the Company.

As of November 12, 2021, Dajia Life Insurance held 696,609,725 ordinary shares of the Company, representing 15.43% of the total share capital of the Company.

From November 18 to November 19, 2021, Dajia Life Insurance reduced its shareholding in the Company by 47,196,200 shares in aggregate through centralized bidding, representing 1.05% of the total share capital of the Company. The amount of the reduction has exceeded 1% of the total share capital of the Company.
