Item 5.02  Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 12, 2021, Mr. Ronald Cooper notified Genocea Biosciences, Inc. (the
"Company") of his desire to resign from the Board of Directors (the "Board") of
the Company, effective April 12, 2021. Mr. Cooper has served on the Board since
2016. Mr. Cooper's resignation was not a result of or caused by any disagreement
with the Company. Ms. Katrine Bosley, who has served on the Board since 2013,
will replace Mr. Cooper as a member of the Audit Committee.
