Item 8.01 Other Events.
On November 21, 2022, GigInternational1, Inc. (the "Company") issued a press
release announcing that the exclusivity provision of its previously announced
non-binding term sheet with Convalt Energy, Inc. has expired and that the
Company is ceasing its business combination efforts, and that as a result the
Company will dissolve and liquidate its assets, and will redeem all of its
outstanding shares of common stock that were included in the units issued to the
public in its initial public offering, as the Company will not consummate an
initial business combination within the time period required by its Amended and
Restated Certificate of Incorporation, as amended. A copy of the press release
is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
