Cryptologic Corp. (CNSX:CRY) entered into a binding share purchase agreement to acquire Copenhagen Minerals Inc. from Greenland Resources Inc for CAD 12.7 million on January 27, 2021. Consideration for the proposed acquisition is expected to be satisfied through the payment of CAD 0.25 million cash and the issuance to Greenland Resources of 37.6 million common shares of Cryptologic. It is expected that Copenhagen shareholders will hold 43.6% of the shares of Cryptologic following closing of the acquisition, with shareholders of Cryptologic holding the remaining 56.4%. Proposed acquisition will be a change of business under the rules of the CSE. Cryptologic will seek to change its name to more accurately reflect its new mineral resource focus, but no new name has been selected at this time. As of March 22, 201, Cryptologic Corp. will change its name to “Greenhawk Resources Inc”. Upon closing of the proposed acquisition, Cryptologic will be a mineral resource issuer and the Storø Gold Project will be the cornerstone of Cryptologic's business. RSG Mining will acquire all of the issued and outstanding shares of Copenhagen from the Seller in consideration of 5,850 common shares of RSG Mining, which represents approximately 58.5% of the issued and outstanding shares of RSG Mining, following which Copenhagen will become a wholly-owned subsidiary of RSG Mining; and Cryptologic will acquire all of the issued and outstanding shares of RSG Mining in consideration for the Consideration Shares. Upon the closing of the Acquisition, RSG Mining will become a wholly-owned subsidiary of the Resulting Issuer.

It is expected that, subject to and upon closing of the proposed acquisition, each of John Kennedy FitzGerald, Chief Executive Officer of Cryptologic, and Joshua Lebovic, Chief Financial Officer of Cryptologic, will step down from their respective positions and leadership of Cryptologic will transition to a new management team which will include Greg McKenzie as Chairman and Chief Executive Officer of Cryptologic. The balance of the management team will be appointed by the new Board of Directors of Cryptologic, which is expected to be comprised of two nominees of the Greenland Resources, two nominees of Cryptologic and Greg McKenzie.

Completion of the proposed acquisition is subject to customary conditions, including, receipt of applicable securityholder approvals by Cryptologic and Greenland Resources and all necessary regulatory approvals, including the approval of Canadian Securities Exchange (CSE). As of May 18, 2021, approval of CSE is still pending. As of March 22, 2021, the Board of Directors of Cryptologic unanimously recommends that shareholders vote in favour of the transaction. As of April 14, 2021, the transaction has received Cryptologic's shareholders' approval. As of May 25, 2021, Cryptologic received conditional approval from the Canadian Securities Exchange.
