The board of directors of Haidilao International Holding Ltd. announced that Mr. Tong Xiaofeng has tendered his resignation as an executive Director, the chief financial officer, a joint company secretary and an authorized representative of the Company with effect from April 27, 2020 so as to devote more time with his family. Mr. Tong has confirmed to the Board that he does not have any disagreement with the Board and there are no other matters with respect to his resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited. The Board announces that Mr. Zhou Zhaocheng has been appointed as an executive Director with effect from April 27, 2020. Mr. Zhou Zhaocheng, aged 47, was appointed as the chief strategy officer of Company on April 3, 2018. He is responsible for assisting chief executive officer in developing growth strategy and is responsible for legal affairs, brand and public relationship of Group. Mr. Zhou is also serving as a director of Ying Hai Holdings Pte. Ltd. and Beijing Yinghai Intelligent Automation Technology Co. Ltd. He is experienced in corporate management and media relations. The Board announces that Mr. Li Peng has been appointed as the financial director of the Company with effect from April 27, 2020. The biographical details of Mr. Li are as: Mr. Li Peng, aged 39, joined Group in 2014 and successively served as a senior manager of the sharing center of financial management department and an overseas financial senior manager. He has intensive knowledge and over 18 years of experience in finance and accounting. Before joining the Group, Mr. Li held various positions in a number of large-scale corporations in consumer sector. The Board further announces that Mr. Zhou has also been appointed as the joint company secretary. Mr. Zhou currently does not possess the relevant qualification as required under the Rules 3.28 and 8.17 of the Listing Rules. The Company has made application to the Stock Exchange for a waiver from the strict compliance with the requirements under Rules 3.28 and 8.17 of the Listing Rules. The Company further announces that Mr. Zhou has also been appointed as an authorized representative of the Company with effect from April 27, 2020.
