(Stock Code: 1323) COMPLETION OF THE ISSUE OF HK$200,000,000 GUARANTEED CONVERTIBLE BONDS DUE 2019

Reference is made to the announcement of Newtree Group Holdings Limited (the "Company") dated 4 August 2017 in relation to, among other matters, the issue of the Convertible Bonds (the "Announcement"). Unless the context otherwise requires, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The Board is pleased to announce that all of the conditions precedent to the issue of the Convertible Bonds under the Subscription Agreement have been fulfilled and the Completion took place on 11 August 2017. The Convertible Bonds in the aggregate principal amount of HK$200,000,000 were issued to the Subscriber pursuant to the Subscription Agreement.
