IMA's Board of Directors approves the merger by absorption

of some wholly-owned subsidiaries

The Board of Directors of IMA S.p.A., world leader in the production of automatic packaging machines, met today under the chairmanship of Alberto Vacchi and approved the absorption by IMA S.p.A. of the directly or indirectly wholly-owned subsidiaries GS Coating Technologies S.r.l., GIMA S.p.A., Mapster S.r.l. and Revisioni Industriali S.r.l. These mergers will be submitted to the Shareholders' Meetings of the respective companies.

Today's resolutions, as per public deed under art. 2505 of the Italian Civil Code, have been adopted by the Board of Directors, as the Shareholders did not present any valid requests for the Shareholders' Meeting to adopt such resolutions, and follow approval of the merger plans on 15 May 2019.

These mergers, which will simplify the corporate structure of the IMA Group and optimise management of its internal cash flow, form part of the exclusions provided for related party transactions as envisaged by art. 14 of Consob's Regulation and art. 5 of the procedure adopted by IMA.

The mergers of these companies are not considered material, as they are between IMA S.p.A. and its directly or indirectly subsidiaries, which were already included in the scope of consolidation of the same Parent Company.

The merger formalities will be completed before the end of the current year and will take effect from 1 January 2020.

The minutes of the resolutions passed will be made available to the general public at the Company's head office in Via Emilia 428/442, Ozzano dell'Emilia (Bologna). They will also be published on the website www.ima.it in the Investor Relations section (Shareholders Meetings) and on the authorised storage system 1INFO (www.1info.it), at the same time that we request their inclusion in the relevant Company Registers, which will take place before the legal deadline.
