As previously announced, on February 22, 2023, INDUS Realty Trust, Inc. (the "Company") entered into an Agreement and Plan of Merger (the "Merger Agreement") by and among the Company, IR Parent, LLC, a Delaware limited liability company ("Parent"), and IR Merger Sub II, Inc., a Maryland corporation and a wholly-owned subsidiary of Parent ("Merger Sub" and, together with Parent, the "Parent Parties"). At the closing, Merger Sub will merge with and into the Company, with the Company surviving as a wholly-owned subsidiary of Parent (the "Surviving Entity"), and the separate corporate existence of Merger Sub will cease (the "Merger"). The Parent Parties are affiliates of GIC Real Estate, Inc., a global institutional investor, and Centerbridge Partners, L.P., a private investment firm (together, the "Sponsors"). A wholly owned subsidiary of the Abu Dhabi Investment Authority (the "ADIA Investor") and an affiliate of GIC (Realty) Private Limited (the "GIC Investor") will also be indirect investors in Parent.

In connection with the Merger, the Company, the GIC Investor and the ADIA Investor filed a joint voluntary notice under Section 721 of the Defense Production Act of 1950, as amended ("Section 721"), with the Committee on Foreign Investment in the United States ("CFIUS").

On June 22, 2023, the Company received written notice from CFIUS that it had concluded all action under Section 721 with respect to the transaction contemplated by the Merger Agreement, constituting receipt of "CFIUS Approval" as defined under the Merger Agreement.

All required regulatory approvals to complete the Merger have now been received. The closing of the Merger is expected to occur on [June 29], 2023, subject to the satisfaction or waiver of the remaining customary closing conditions set forth in the Merger Agreement that by their nature are to be satisfied at the closing of the Merger.
