Stock Purchase Agreement dated as of October 22, 2022 (the "SPA"). by and among
International Media Acquisition Corp. ("IMAQ"), Risee Entertainment Holdings
Private Limited and Reliance Entertainment Studios Private Limited (the "Target
Company") related to the acquisition of the equity of the Target Company (the
"Stock Acquisition").
