Northern Lights Acquisition Corp. (NasdaqCM:NLIT.U) announced a private placement of 475,675 units at a price of $10 per unit for the gross proceeds of $4,756,750 on June 2, 2021. Each unit consists of one share of Class A common stock and one-half of one warrant. Each whole warrant is exercisable to purchase one whole share of common stock at $11.50 per share. The transaction will included participation from 5Ak, Llc. The company will issue 528,175 units in the transaction basis over-allotment option is exercised in full. The securities issued in the transaction are under the Securities Act of 1933 (the “Securities Act”) in reliance upon Section 4(a)(2) of the Securities Act.
