Notice of Delisting

Dear Sir/Madam,

We, 02Micro International Limited (the "Issuer"), refer to the admission to listing on the Cayman Islands Stock Exchange (the "CSX") of the Issuer's American Depositary Share ("ADS") Program (each ADS representing 50 ordinary shares of par value USS0.00002) for secondary listing of an international equity on 30 November 2005.

The Issuer hereby gives notice that:

(a)	on 3 March 2023 the listing of the ADS has been cancelled as it is no longer required;
	and

1. the Issuer obtainedthe approval of the holders ofthe affected classesof securities pursuant to the extraordinary general meeting of the Issuer held on 31 January 2023 (the "EGM"), at which the members of theIssuer passed a special resolution(being aresolution passed by a majority of at least two-thirds of such members of the Issuer as, being entitled to do so, vote in person or by proxy at the EGM) approving (i) the agreement and plan of merger dated 30 September 2022 (the "Merger Agreement") among the Issuer, FNOF Precious HonourLimited, a companyincorporated under thelaws ofBritish VirginIslands("Parent") and Rim PeakTechnology Limited, an exempted company with limited liabilityincorporated under the laws of the Cayman Islands and a wholly owned subsidiary of Parent ("Merger Sub"), pursuant to which Merger Sub would be merged with and into the Issuer (the "Merger"), with the Issuer continuing as the surviving company and becoming a wholly owned subsidiary of Parent; and (ii) the transactions contemplated by the Merger Agreement, including the proposed de-listing of the ADS from the CSX as promptly as practicable following the effective time of the Merger.

Accordingly, and in accordance with Listing Rule 3.9, we kindly request that the ADS be voluntarily withdrawn from listing on the CSX effective as of the date hereof.
