Item 8.01. Other Events.
On January 26, 2022, Omnichannel Acquisition Corp., a Delaware corporation
("Omnichannel" or the "Company"), announced the termination of the business
combination agreement (the "Business Combination Agreement") with Omnichannel
Merger Sub, Inc., a wholly-owned subsidiary of Omnichannel ("Merger Sub"), and
Kin Insurance, Inc. ("Kin"). On January 27, 2022, as a result of the termination
of the Business Combination Agreement, Omnichannel requested the withdrawal of
its registration statement on Form S-4, as amended from time to time, initially
filed with the SEC on August 12, 2021, and the special meeting of Omnichannel's
shareholders, which was scheduled to be held on February 1, 2022, for the
purpose of voting on the Business Combination Agreement and proposed
transactions related thereto, will not take place.
